Important: Please read these Terms of Service carefully before using Seller's Bay. By accessing or using our service, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using the Seller's Bay platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Seller's Bay provides eCommerce sellers with SEO analysis, WooCommerce integration, and AI-powered content optimization tools. Our service includes but is not limited to:

  • SEO auditing and analysis
  • AI-powered product description optimization
  • WooCommerce store connection and integration
  • Credit-based system for AI processing

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Billing and Payments

The Service uses a credit-based system for certain features, particularly AI processing. Credits can be purchased through our secure Stripe integration.

By purchasing credits, you agree to pay all fees associated with your account. You are responsible for providing accurate billing information.

We reserve the right to change our pricing structure at any time. Any changes to pricing will be communicated to you in advance.

Free Trial Terms

We offer free trials with various terms and costs depending on the plan selected. By signing up for a trial:

  • You authorize us to charge your card $1.00, which will be discounted on your next bill.
  • You agree that after the 7-day trial period, your subscription will automatically begin and your card will be charged the full subscription amount monthly
  • You acknowledge that it is your responsibility to cancel before the trial ends if you do not wish to be billed. Accounts can be cancelled within your profile by clicking the "Cancel Subscription" button.

To cancel your subscription at any time, including during the trial period, you can visit your Account Settings page.

5. Refund Policy

Credits purchased are non-refundable.

6. Account Deletion and Credit Policy

You may request to close your account at any time through your account settings. We offer two account closure options:

  • Temporary Deactivation: Your account will be inactive but all data, credits, and history will be preserved. You can reactivate your account at any time by logging in.
  • Permanent Deletion: Your account and all associated data will be permanently deleted after a 30-day grace period.

Credit Handling During Deletion:

  • Paid Credits: Before account deletion, you may either transfer your remaining paid credits to another user or convert them to a discount coupon equal to their value (valid for 90 days).
  • Promotional Credits: Any promotional credits will be forfeited immediately when the deletion process begins.
  • Account inactive for 6 months or more will be perminently deleted and all credits will be lost
  • Any account found to be conducting illegal activity or trying to hack the system, will be deleted imediately and banned from the site perminently. Legal action will be taken if needed.

During the 30-day grace period, you may cancel your deletion request at any time and regain full access to your account. After this period, all account data, including remaining credits, will be permanently erased and cannot be recovered.

7. WooCommerce Integration

Our Service allows you to connect to your WooCommerce store. By providing your API credentials, you authorize us to:

  • Access and retrieve product data from your WooCommerce store
  • Modify product data when explicitly requested by you
  • Perform background syncing to maintain data consistency

We encrypt and securely store your API credentials. You may revoke access at any time by disconnecting your store or changing your API credentials.

8. AI Content Generation

Our Service uses AI to generate and optimize content for your products. By using these features, you acknowledge that:

  • AI-generated content may require human review and editing
  • You are responsible for ensuring AI-generated content is accurate and compliant with applicable laws
  • You retain ownership of the final content after AI processing
  • We may use anonymized data to improve our AI models
  • Seller's Bay is not to be help responsible for any loss of any kind due to the content generated by our applicaitons.

9. Data Usage and Privacy

We collect and process certain data to provide our Service. Please refer to our Privacy Policy for details on how we handle your data.

By using our Service, you consent to our data practices as described in our Privacy Policy.

10. User Content and Conduct

You retain ownership of any content you submit to our Service. However, you grant us a non-exclusive license to use, store, and process this content to provide and improve our Service.

You agree not to use our Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:

  • Violating intellectual property rights
  • Attempting to gain unauthorized access to our systems
  • Using our Service to generate content that is discriminatory, harmful, or illegal
  • Engaging in activities that could disable or overburden our infrastructure

11. Limitation of Liability

To the maximum extent permitted by law, Seller's Bay and its affiliates, officers, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Service.

Our total liability for any claim arising from or relating to these Terms or our Service shall not exceed the amount paid by you to Seller's Bay during the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Seller's Bay and its affiliates, officers, employees, agents, and suppliers from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which Seller's Bay is established, without regard to its conflict of law provisions.

16. Dispute Resolution

Any dispute arising from or relating to these Terms or our Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the rules of the relevant arbitration association.
